Refer A Friend Promotion Terms

The following are the terms and conditions of the “Refer A Friend Promotion”” (the “Promotion”) for the website located at https://realprize.com/ and the RealPrize application which links to the General Terms and Conditions, through which the RealPrize Services are provided (collectively the “Site”). The Promotion is organized by REALPLAY TECH INC and its Related Entities including Realplay Ltd (“RealPlay”, “us”, “we” or “our”). Your participation in this Promotion shall be deemed to constitute your complete acceptance of the provisions below.
The RealPrize Services including but not limited to the Contests provided through the Site are offered and operated by REALPLAY TECH INC using software developed by Realplay Ltd.
General
1. This Promotion commences on 1st April 2025 and is an ongoing Promotion, currently without an end date and we will provide you with notice of when the Promotion is to come to an end (the “Promotion Period”), through the Site or these Promotion terms and conditions. No Referred Friend generated (as defined below), prior to the date of commencement of the Promotion Period shall be valid.
2. Terms which are defined in the General Terms and Conditions and which are used in these Promotion terms and conditions shall have the meaning given to them in the General Terms and Conditions, unless otherwise defined in these Promotion terms and conditions.
3. We may at any time cancel or suspend the Promotion, and any of the Sweep Coins and Gold Coins offered hereunder, including without limitation, where required for security reasons, to comply with applicable law or regulation, due to abuse or otherwise where the Promotion is not capable of being conducted as specified as a result of exceptional circumstances.
4. We may at any time modify these Promotion terms and conditions by posting a modified version the Promotion terms and conditions on the Site. Such modified version will take effect immediately upon being posted and you agree to be bound by such modifications.
5. In the event of cancellation of the Promotion, REALPLAY shall provide all Gold Coins and Sweep Coins offered under the Promotion to any individual who has sent an Invited Friend prior to such cancellation and who has not received the Gold Coins and Sweep Coins due to them under the Promotion, subject to such individual having met all the relevant requirements in these Promotion Terms, fully complying with the terms and conditions of this Promotion and the RealPrize Agreement.
Eligibility
6. You may only participate in the Promotion, if during the Promotion Period, you have a User Account with us which: (i) is not an Inactive Account; or (ii) which has not been suspended by us.
7. No-one under the age of 18 or the minimum legal age required by the laws and regulations of the jurisdiction that such individual is located in at the time he/she access the Site or uses the RealPrize Services (whichever is higher) may participate in the Promotion and invite close friends and family to register with the Site.
8. For security and verification purposes, we reserve the right to limit participation in this Promotion to: (i) one per household; (ii) one per computer terminal; or (iii) one per mobile device.
How to Refer a Friend:
9. In the Lobby Section in your User Account you can find your unique referral link (“Referral Link”), which you can use invite close friends and family.
10. You must only send the Referral Link to close friends and family.
11. The individual who you send the Referral Link to must: (i) not be under the age of 18 or the minimum legal age required by the laws and regulations of the jurisdiction that such individual is located in to use the Site or the RealPrize Services (whichever is higher); (ii) not be located in or a resident of the Restricted Territories; (ii) register an account for the first time with the Site; and (iv) during the Promotion Period click on the Referral Link and immediately register an account with the Site (an individual who complies with (i), (ii), (iii) and (iv) shall be deemed to be an “Invited Friend”).
For the purposes of these Promotion terms and conditions “Restricted Territories” shall mean: (i) any jurisdiction outside of the United States; and (ii) in the United States, the following States: State of Connecticut; State of Idaho; State of Michigan; State of Nevada; State of New York, State of Montana; and State of Washington.
12. The Referral Link must be sent directly to your close friends and family and the Referral Link must not be posted publicly, on forums or social media platforms, through advertisements or any method open to abuse which includes without limitation sending the Referral Link to anyone residing in the same residence as you.
13. If the individual who you send the Referral Link to has or has had an account with the Site, such individual will not qualify as an Invited Friend and as a Referred Friend.
14. If during the Promotion Period within 30 days of registering an account, the Invited Friend purchases through his/her account: (i) at least 15 USD worth of Gold Coins, you shall receive 100,000 Gold Coins and 20 Sweep Coins; and (ii) at least 500 USD in Gold Coins you will earn an additional 100,000 Gold Coins and 50 Sweep Coins, subject to the terms and conditions in this Promotion, the General Terms and Conditions and the Promotional Play Rules. An Invited Friend who complies with (i) or (ii) shall be deemed to be a Referred Friend.
15. The maximum total amount of coins that an individual can receive per Referred Friend is 200,000 Gold Coins and 70 Sweep Coins.
16. There is no limit to the number of Referred Friends you can generate using the Referral Link, subject to these Promotion terms and Conditions.
17. For the avoidance of doubt, any Gold Coins or Sweep Coins granted under the Promotion shall be granted to the individual whose Referral Link is used and shall not be granted to the Referred Friend.
18. You are solely liable for the content and manner of how you invite your Invited Friend. All such content and the manner in which you invite your Invited Friend must be compliant with applicable laws, regulations and directives.
19. You must not offer any incentives (financial or otherwise) to any Invited Friend or Referred Friend nor shall you in any way take any action or make any statements that may cause any confusion regarding your relationship with the Company or as to the ownership and operation of the Site.
20. If we determine that the content and manner of how you invite your Invited Friend is unsuitable for any reason including without limitation is not socially responsible or is unlawful, harmful, threatening, defamatory, obscene, or harassing, we may without limiting any of our rights and remedies, withhold or void any Sweep Coins and Gold Coins granted to you under the Promotion or terminate your User Account.
By way of example only, this might mean that the content and manner of how you invite your Invited Friend: (i) is sexually explicit, pornographic or obscene (whether in text or graphics); (ii) contains speech or images that are offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability or otherwise); (iii) contains graphic violence; (iv) contains politically sensitive or controversial issues; or (v) contains any unlawful behavior or conduct.
Additional Information
21. For more information regarding the obtainment and use of Gold Coins, Sweep Coins, Redeemable Sweep Coins and Sweep Prizes, including without limitation restrictions applying to the redemption of Redeemable Sweep Coins and the receipt and use of Sweep Prizes, please see the General Terms and Conditions and the Promotional Play Rules. Without detracting from the foregoing, please note that any Sweep Coins granted to you under the Promotion cannot be directly redeemed for Sweep Prizes. Sweep Coins granted to you must be played at least once on the Sweep Coins Mode Contests before Sweep Prizes can be obtained by redeeming Redeemable Sweep Coins.
22. REALPLAY reserves the right at its sole discretion to disqualify from the Promotion any individual it finds to be tampering with the referral process or the operation of the Promotion.
23. Without detracting from Point 22, we may terminate your User Account if you are in breach of the Promotion terms and conditions.
24. Any attempt by any person to deliberately undermine the operation of the Promotion may be in violation of criminal and civil law, and should such an attempt be made, REALPLAY reserves the right to seek damages from any such person to the fullest extent permitted by applicable law.
25. REALPLAY’s failure to enforce any provision of these Promotion terms and conditions shall not constitute a waiver of such term or conditions.
26. If you and your Referred Friend have met all requirements of the Promotion and haven’t received the free Gold Coins and Sweep Coins within 24 hours of your Invited Friend becoming a Referred Friend, please contact: [email protected]
27. Subject to Point 28, our decisions with respect to the Promotion shall be final and binding.
28. FOR THE AVOIDANCE OF DOUBT, CLAUSE 25 (DISPUTE RESOLUTION AND AGREEMENT TO ARBITRATE ON AN INDIVIDUAL BASIS) OF THE GENERAL TERMS AND CONDITIONS IS INCORPORATED HEREIN BY REFERENCE WITH THE SAME FORCE AND EFFECT AS THOUGH FULLY SET FORTH HEREIN.
29 . The Company and you agree that the Promotion and your use of the Site, Site Content and Sweep Prizes, are governed by and shall be construed in accordance with the laws of the State of Delaware without regard to its principles of conflicts of law. The application of the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded.
30. Subject to Point 28, you and the Company and you agree that any Dispute will be submitted exclusively to the courts in Wilmington, the State of Delaware and you and we consent to the venue and personal jurisdiction of those courts. Notwithstanding the foregoing, the parties agree that either party may move to compel arbitration or to enforce an arbitral award issued hereunder before any court of competent jurisdiction.
EACH PARTY HEREBY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THE DISPUTE OR ANY TRANSACTIONS BETWEEN THE PARTIES, WHETHER BASED ON CONTRACT, TORT OR ANY OTHER THEORY.
31. If we terminate your User Account, Clauses 13.6, 13.7, 13.8, 13.9 and 13.10 (TERMINATION OF YOUR USER ACCOUNT) in the General Terms and Conditions shall apply.
